End-User License Agreement (EULA)

1. License Grant

YA, Inc. (“YA”) hereby grants you a non-exclusive, non-transferable, revocable license to use the TooGather mobile application (the “App”) on any device that you own or control, subject to the terms of this EULA.

2. User Obligations

You agree not to (a) license, sell, rent, lease, distribute, transfer, or sublicense the App; (b) modify, reverse engineer, decompile, or disassemble the App; or (c) remove or alter any proprietary notices embedded in the App.

3. Maintenance and Support

YA alone is responsible for providing any maintenance and support services for the App. Neither Apple nor Google will be obliged to furnish any maintenance or support for the App.

4. Warranty Disclaimer

The App is provided “AS IS” and “WITH ALL FAULTS,” without warranty of any kind. To the maximum extent permitted by applicable law, YA disclaims all warranties, whether express, implied, statutory or otherwise.

5. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall YA be liable for any indirect, incidental, special, consequential or punitive damages arising out of your use of or inability to use the App.

6. Intellectual Property

All title, ownership rights, and intellectual property rights in and to the App remain with YA and its licensors. You may not remove or obscure any proprietary notices contained in or on the App.

7. Legal Compliance

You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

9. Third-Party Terms

You must comply with all applicable third-party terms when using the App (for example, your carrier’s data plan agreement or any VoIP service terms).

10. Governing Law

This EULA and your use of the App shall be governed by and construed in accordance with the laws of France, without regard to conflict of laws principles.


Appendix A – Additional Terms for iOS Distribution

A1. Acknowledgement

This EULA is a legal agreement between you and YA only, not with Apple, and YA, not Apple, is responsible for the App and the content thereof.

A2. Scope of License

Your license to use the App is limited to devices running iOS that are owned or controlled by you, except as permitted by Apple’s Family Sharing program.

A3. Maintenance and Support

Apple has no obligation to provide any maintenance or support for the App.

A4. Warranty

To the maximum extent permitted by applicable law, Apple is not responsible for addressing any claims relating to the App or your use of it, including product liability claims. If the App does not conform to any applicable warranty, you may notify Apple to request a refund of the purchase price.

A5. Product Claims

You and YA acknowledge that YA, not Apple, is responsible for addressing any end-user or third-party claims relating to the App or your possession and/or use of the App, including product liability claims and regulatory compliance.

A6. Intellectual Property Claims

You and YA agree that YA, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any third-party intellectual property infringement claims.

A7. Third-Party Beneficiary

You and YA acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right to enforce this EULA against you as a third-party beneficiary.
